Reliability of the reporting

Management states that "our disclosure controls and procedures were not effective" as of December 31, 2025 on three material weaknesses, none remediated as of the annual report filed 04/08/2026; as an emerging growth company, no outside auditor attests to internal controls. Visible consequences in the same document: three conflicting membership counts, a table of ten people headed "seven individuals," and the subtotal "INCOME BEFORE INCOME TAX POVISION."

Earnings quality and balance sheet

Profitable in all three reported years with positive operating cash flow throughout (JPY 677.9 million, JPY 207.1 million, JPY 468.3 million for 2023–2025) and free cash flow of JPY 414.8 million in 2025. Net cash of roughly JPY 2.19 billion at 12/31/2025, equity ratio 39.5%, return on equity 29.2%, Piotroski F-Score 9 of 9 (data as of 08/01/2026).

Composition of growth

Revenue rose 13.5% in 2025, but membership was flat at 70,688 (+0.0% versus 70,663) and fell 2.5% to 60,960 in the first quarter of 2026. Growth came from higher fees ("due to higher monthly fees," 6-K of 06/18/2026) and from the government-funded social business (+32.8% revenue), not from more children.

Regulatory matter in the growth line

A guidance notice from Hakodate City (October 2024) found over-claimed after-school daycare fees at four Hokkaido facilities for 2023 and 2024; repayments were completed in 2025 with JPY 0.6 million following in January 2026, but a 40% penalty and revocation or suspension of operator designations remain possible per the annual report — in exactly the line expanded by two of the three 2026 acquisitions.

Ownership and control

Founder Kiyotaka Ito holds 50.37% (13,176,142 of 26,160,619 shares, 04/08/2026), directors and senior management 52.32% — a "controlled company" under Nasdaq Rule 5615(c). The exemptions are expressly not used, but Japanese home-country practice permits articles under which "there is no quorum requirement for a general resolution of shareholders." Only 8.30% of shares exist as ADSs; 229 holders of record, none in the United States.

Guidance and dependence on the state

2026 guidance ($82.9–95.7 million of revenue, $4.5–5.4 million of operating income) was affirmed 06/18/2026 while explicitly assuming "no business acquisitions" — three closed on 05/01, 06/01 and 07/01/2026. The social business is 27% of revenue and expressly business-to-government; its largest single contract, roughly JPY 2.3 billion from the Japan Sports Agency, was not renewed beyond March 31, 2025.

Bottom Line

Leifras is an operationally sound micro cap with an unusually poor paper trail. The business has been profitable every reported year, generated JPY 414.8 million of free cash flow in 2025, carries net cash of roughly JPY 2.19 billion and scores the maximum 9 of 9 on the Piotroski test (data as of 08/01/2026). The same annual report, filed April 8, 2026, states that disclosure controls and procedures were not effective as of December 31, 2025 on three unremediated material weaknesses, describes a use of IPO proceeds belonging to a retail business the company does not operate, calls flat membership a "steady growth rate," and discloses a live regulatory matter carrying a possible 40 percent penalty in the very line being expanded by acquisition.
